I.R.S. Records

I just heard something which came as a shock to me but maybe was public
knowledge.  I.R.S. Records is not a independent record company but a setup by
Warner Brothers to have a losing money company for tax reasons (hence I.R.S.).
And R.E.M. was making too much money for the label so they were told to change
to Warner Bros. rather than a sellout which I thought was what had occurred. 
Now I had been admiring the company until now.  Can anyone confirm or deny the
allegations?
